Tour Partner Terms & Conditions
Welcome to the StreetEasy Tour Partner Program (the “Program”), brought to you by Zillow, Inc. (“Zillow”). By creating an account in Zillow’s StreetEasy Tours mobile application (the “App”), you agree to be bound by these StreetEasy Tour Partner Program Terms and Conditions (the “Terms”).
Prior to participating in the Program, you agree to review the StreetEasy Tour Partner Guidelines located at http://streeteasy.com/business/agents/tourpartnerprogramstandards/ and comply with them in performing any services in the Program. The StreetEasy Tour Partner Guidelines may be updated by Zillow from time to time and will take effect as of the date posted to the website.
1. Services. From time to time, you may receive notifications via the App that a potential renter (each, a “StreetEasy Renter”) is requesting to tour a rental unit that Zillow is marketing on behalf of the landlord/manager/owner (each, a “Rental Unit”). If you are available to facilitate the tour for the StreetEasy Renter, you may choose to respond via the App to accept the tour (each, a “Tour”). For clarity, you may not accept a Tour unless you are able to meet the StreetEasy Renter during the timeframe set out by the StreetEasy Renter in their request. Upon accepting a Tour via the App, you will perform the Services set out in more detail in the Tour Partner Guidelines. Such Services include, without limitation:
- At least one hour before the Tour is scheduled to begin, contact the StreetEasy Renter via the App to introduce yourself and set the expectations set out in the Tour Partner Guidelines.
- Arrive at the Rental Unit at least 10 minutes before the time agreed upon with the StreetEasy Renter to obtain the key, open the door, turn on the lights and generally ensure there are no issues accessing the Rental Unit.
- Meet the StreetEasy Renter in front of the building and escort the StreetEasy Renter into the Rental Unit.
- Provide the StreetEasy Renter with a comprehensive tour of the Rental Unit and respond to questions about the listing to the extent Zillow has supplied you with answers via the App.
- If the App indicates (or you are otherwise informed) that there are additional rental units available for touring within the same building, you will inform the StreetEasy Renter that such additional rental units exist and provide the StreetEasy Renter with a tour of any such units the StreetEasy Renter requests to view.
- If you receive a question for which Zillow has not supplied an answer, you will refer the StreetEasy Renter to contact the StreetEasy support team after the tour has concluded.
- After each Tour, you will write and submit a review of the StreetEasy Renter via the App.
2. Limited Relationship with StreetEasy Renters. You understand and agree you may not work with any StreetEasy Renter beyond facilitating the Tour requested by a StreetEasy Renter via the App. You are prohibited from recommending other rental units or buildings to a StreetEasy Renter, providing a StreetEasy Renter with your contact information or otherwise indicating to a StreetEasy Renter you are available to support them in their search for a rental. For clarity, you may not enter into an arrangement under which you represent a StreetEasy Renter. Notwithstanding the foregoing, you may show additional rental units that are available within the same building to a StreetEasy Renter during a Tour if such additional rental units are listed in the Agent Notes section of the App for such Tour.
3. No Agency. Nothing contained herein shall be deemed to authorize you to act as agent for Zillow, the StreetEasy Renter, or the landlord/owner/manager of the Rental Unit.
4. Communication with StreetEasy Renter. In the event that the StreetEasy Renter asks questions about the Rental Unit, building, or neighborhood, you may respond with publicly known and fact based information that is easily accessible and verifiable. You are expressly prohibited from a) offering advice or opinion to the StreetEasy Renter and b) engaging in lease negotiations of any kind. You shall follow the policies and procedures set forth in the StreetEasy Tour Partner Guidelines and training.
5. Care of Rental Unit. You shall take good care of the building and Rental Unit and will not permit or do any damage to them. Upon completion of the Tour, you shall ensure that all utilities, including but not limited to, light switches, heating systems, air-conditioning units, water faucets, and gas burners are turned off and the door to the Rental Unit is securely locked.
6. Code of Conduct. Zillow believes that all people deserve to be treated equally and with respect, regardless of their race, ethnicity, nationality, class, religion, belief, sex, language, sexual orientation, gender identity, age, health or other status. Zillow chooses to work with professionals who both share these values and embody them in their interactions with consumers, Zillow employees, and other professionals. In the event Zillow determines you are not upholding these values, Zillow may take action to ensure the integrity of the Zillow services, including terminating your participation in the Program. Zillow may also terminate your participation in the Program in the event you are charged with or convicted of a crime, or Zillow otherwise believes your participation in the Program could harm the reputation and/or good standing of the services offered by Zillow.
7. Term and Termination. You may participate in the Program so long as you are associated with a Broker who is participating in the Program, subject to Zillow’s right to suspend or terminate your participation in the Program as set out in these Terms. Zillow may update or discontinue offering the Program at any time.
8. Payment. Zillow will pay the Broker with which you are associated (your Broker) an amount of $80 (“Base Payment”) for each Tour you complete and, if applicable, the amount indicated in the App (“Add-on Payment”) for additional units toured during the Tour (Base Payment and Add-on Payment, collectively, the “Tour Payment”) in compliance with these Terms and the StreetEasy Tour Partner Guidelines. Zillow will not pay more than one Base Payment per day for tours you provide to the same StreetEasy Renter within the same building; if you provide a StreetEasy Renter with a tour of more than one rental unit in a building on the same day, Zillow will pay only the applicable Add-on Payment set out in the App. Under its agreement with Zillow, your Broker agreed to pay you your split of the Tour Payment for each Tour completed by you, as determined in the agreement between your Broker and you.
9. Representations and Warranties. You represent and warrant that: (i) you have the necessary right, power and authority to participate in the Program and to perform the acts required of it hereunder; (ii) you will comply with all applicable laws, rules and regulations (including, but not limited to all licensing requirements) in the course of participating in the Program; (iii) your participation in the Program will not violate any third-party rights; and (iv) you will comply with the StreetEasy Tour Partner Guidelines.
10. Modification. Zillow may modify these Terms at any time by updating them at: https://streeteasy.com/business/agents/tourpartnerprogramterms and providing you with notice via the primary email address associated with your account in the App. Your continued participation in the Program after receipt of notice from Zillow shall be deemed acceptance of such revised Terms.
11. General Provisions.
- Governing Law, Dispute Resolution, Venue. The Program is governed by the laws of the State of New York without regard to its conflicts of laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts sitting in New York County, New York for all disputes arising out of or relating to the subject matter hereof.
- Communications. You consent to being contacted by Zillow via mobile phone (text and/or phone calls). You further agree that calls between you and consumers or Zillow employees may be recorded for quality control, training, and other internal business purposes. You acknowledge that, for certain Zillow services, call recording may not be disabled by you.
- Severability and Modification. If for any reason a court of competent jurisdiction finds any provision or portion of these Terms to be unenforceable, that provision of the Terms will be enforced to the maximum extent permissible so as to give effect to the intent of the Parties, and the remainder of these Terms will continue in full force and effect.
- Independent Parties. You understand and agree you have no power or authority to assume or create any obligation or responsibility on behalf of Zillow. These Terms will not be construed to create or imply any partnership, agency, or joint venture between you and Zillow.
I hereby irrevocably permit, authorize and license Company to display, publicly perform, exhibit, transmit, broadcast, reproduce, record, photograph, digitize, modify, alter, edit, adapt, create derivative works of, exploit and/or otherwise use my name, photograph and recording (including electronic), image, likeness, appearance, quotes, voice, biographical information and other personal characteristics and information in all materials created by or on behalf of Company (“Materials”) that incorporate any of the foregoing on a perpetual basis throughout the world and in any medium or format whatsoever now existing or hereafter created without further consent from or royalty, payment or other compensation to me. I represent and warrant to Company that use of the Materials and the rights and license granted hereunder will not violate any right of, or conflict with or violate any contract with or commitment made to, any person or entity, and that no consent or authorization from any third party is required in connection herewith.
I hereby irrevocably transfer and assign to Company my entire right, title and interest, if any, in and to the Materials and all copyrights in the Materials arising in any jurisdiction throughout the world. I acknowledge and agree that I have no right to review or approve Materials before they are used by Company, and that Company has no liability to me for any editing or alteration of the Materials or for any distortion or other effects resulting from Company’s editing, alteration or use of the Materials. Company has no obligation to use the Materials or to exercise any rights granted under this Agreement.
To the fullest extent permitted by applicable law, I hereby irrevocably waive all legal and equitable rights relating to all liabilities, claims, demands, actions, suits, damages and expenses, including but not limited to claims for copyright or trademark infringement, infringement of moral rights, defamation, invasion of rights of privacy, rights of publicity, intrusion, false light or any similar claim or cause of action (collectively, “Claims”) arising directly or indirectly from Company’s exercise of their rights under this Agreement and covenant not to make or bring any such Claim against Company and forever release and discharge Company from liability under such Claims.
This Agreement constitutes the sole and entire agreement of the parties with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings with respect to such subject matter. If any term or provision of this Agreement is found invalid, illegal or unenforceable, this shall not affect any other term or provision of this Agreement. This Agreement is binding on and shall inure to the benefit of the parties hereto and their respective successors and assigns. All matters arising out of or relating to this Agreement shall be governed by and construed in accordance with the laws of the State of Washington without giving effect to any choice or conflict of law provision or rule. Any claim or cause of action arising under this Agreement may be brought only in the federal and state courts located in Washington, and the parties hereby consent to the exclusive jurisdiction of such courts.
I hereby warrant that I am of full age and have the right to contract in my own name. I have read the above Agreement prior to its execution, and I am fully familiar with its contents. This Agreement shall be binding upon me, my heirs, legal representative, licensees, successors, and assigns.
