Can Board Members Vote by Proxy On Board Votes

Hello everyone, I've got a question on board and board voting. Is it allowable to have a board member give (proxy) their votes to other board members? This is in regards to board only votes, not votes pertaining to all shareholders. Hello everyone, I've got a question on board and board voting. Is it allowable to have a board member give (proxy) their votes to other board members? This is in regards to board only votes, not votes pertaining to all shareholders. Another resource similarly on California law is https://www.davis-stirling.com/HOME/Director-Proxies. Is this the same in NYC?
