NTW are you there? The following deeds are analogous to the real ones: 1. In 2010 the Hedge Fund Manager bought at XX West XYZ street with his NYS LLC called CP-MAN with trustee John Smith and with a Beverly Hills CA address on the deed. 2. In 2014, the same LLC CP-MAN again bought at XX West XYZ Street and the address on the Deed is XX West XYZ Street #1. This I believe to be the mistresses condo. Did you notice there is no trustee on the 2nd deed and the address is now the NY building's address rather than Beverly Hills CA address? Could it be possible that the woman I am alleging to be the Mistress now is a shareholder in that LLC and the owner of the condo in number 2? There is no trustee and the address being different (#2 vs. #1) hence is my theory there is now a new owner. i.e the Mistress brcause the original owner of the LLC, the hedge fund manager, gave her the condo in #2 and is the reason why there is no trustee and a different address than in #1. Question. How can I now research my hunch? Will the Secretary of the State of NY have on record if ownership has changed for that particular LLC and show the name of the owner? Is this even something I can research and what would I need to do next. [less]
LLCs don't have trustees. They just have members. The member who signs a deed could be called the managing member or something like that, or the lawyer could be the authorized signatory and no member names appear.
If the LLCs were formed in NY, then the Secretary of State or whatever it's called will forward the complaint if you sue the LLC. The state doesn't read the operating agreement and figure out who owns what.
The NY Times tried to get behind LLCs when it researched the recent stories about LLCs and the condo market. It got names only for the few with sloppy lawyers. I'd let it go.
What about the two different addresses? The one in Beverly Hills and the one in NYC? Could that imply two different members? Yes or no. That's what I am basically trying to gleam i.e. the implication there could be two different members. Thanks in advance. This will be my last question on this subject and I appreciate you sharing your knowledge.
I'm not following whether there're two apartments and/or two LLCs.
An LLC can have one or more members. The member(s) can be individuals or other LLCs.
In the other thread you said the guy's girlfriend told you something or other. She should get her own lawyer to figure out what she does or doesn't own.
Mailing addresses on the deeds don't mean anything.
